Terms of Service

These Terms of Service ("Terms") govern your use of the Vertexx Network platform ("Platform"), operated by Vertexx Network ("we," "us," or "our"). By creating an account or using our Platform, you agree to be bound by these Terms.

Recruiter Platform Disclaimer

Vertexx Network is a recruiting and candidate-matching platform — not an employer, staffing agency of record, contractor, builder, or legal advisor. We connect companies seeking talent with candidates seeking opportunities and provide tools to facilitate introductions, interviews, and placement arrangements. We are not a party to any employment, contracting, or engagement relationship that may arise between companies and candidates who connect through the Platform.

Accordingly, and to the maximum extent permitted by law:

• Not your employer. Vertexx Network does not employ, supervise, direct, or control any candidate, and does not co-employ or jointly employ any worker placed through the Platform. All employment terms (compensation, benefits, classification, scheduling, termination) are determined solely between the hiring company and the worker.
• Not a contractor or builder. Vertexx Network does not construct, design, engineer, or guarantee any housing, container home, project, or physical work. Any construction, design, or project services referenced on the Platform are performed by independent third parties, and Vertexx is not responsible for their work.
• No guarantees of outcome. We do not guarantee that any candidate will be hired, any job will be filled, any placement will succeed, or any fee will be collected. Matching scores, rankings, and AI-generated suggestions are informational only and not endorsements or warranties of fitness.
• Background & verification. We do not conduct background checks, verify credentials, or guarantee the accuracy of any candidate, company, or job posting information. Users are responsible for their own due diligence, verification, and compliance with applicable employment, tax, and labor laws.
• Compliance is your responsibility. Companies are solely responsible for proper worker classification (employee vs. independent contractor), wage and hour compliance, tax withholding, immigration/work authorization, workplace safety, and all other legal obligations related to any engagement.

The limitations and disclaimers in this section are in addition to, and do not replace, the Limitation of Liability, Disclaimer of Warranties, and Indemnification provisions set out below.

1. User Accounts and Eligibility

You must be at least 18 years old to use the Platform. You agree to provide accurate and complete information during registration and to keep your account credentials secure. You are responsible for all activity under your account.

2. Acceptable Use Policy

You agree not to:

• Use the Platform for any unlawful purpose
• Interfere with or disrupt the Platform's servers or networks
• Attempt to gain unauthorized access to any portion of the Platform
• Use automated scripts or bots to scrape data without authorization
• Impersonate another person or entity

3. User-Generated Content

You retain ownership of content you submit to the Platform. By submitting content, you grant Vertexx Network a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on the Platform. You are solely responsible for ensuring your content does not violate any third-party rights or applicable laws.

4. Job Postings

Employers posting jobs are responsible for the accuracy and legality of their listings. Job postings must not be fraudulent, discriminatory, or misleading. We reserve the right to remove any job posting that violates these Terms.

5. Event Listings

Event organizers are solely responsible for their events, including planning, permits, insurance, safety, and compliance. Vertexx Network does not organize or operate user-created events unless explicitly identified as the organizer.

6. Employer Responsibilities

Employers using the Platform agree to:

• Post only legitimate job openings
• Comply with all applicable employment and labor laws
• Provide accurate compensation information where required
• Make all hiring decisions independently

7. Event Organizer Responsibilities

Event organizers agree to obtain all required permits, licenses, insurance, and approvals before publishing events. Organizers are solely responsible for event operations, safety, ticket fulfillment, and tax compliance.

8. Intellectual Property

All Platform content, including logos, designs, and software, is the property of Vertexx Network or its licensors. You may not reproduce or distribute Platform content without prior written consent.

9. Subscription Billing

Paid subscription plans are billed on a recurring basis. You authorize us to charge your payment method for all applicable fees. Subscription pricing and features are displayed on the Platform and may change with notice.

10. Refund Policy

Subscription fees are generally non-refundable. If you cancel, your subscription remains active until the end of the current billing cycle. Refunds for exceptional circumstances are at our sole discretion.

11. Account Termination

We may suspend or terminate your account if you violate these Terms. You may close your account at any time by contacting us.

12. Limitation of Liability

Vertexx Network is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

13. Disclaimer of Warranties

We do not warrant that the Platform will be error-free, secure, or available at all times. We do not guarantee employment outcomes, project success, funding, or event attendance.

14. Indemnification

You agree to defend and indemnify Vertexx Network against any claims, damages, or expenses arising from your use of the Platform, your content, your events, or your violation of these Terms.

15. Arbitration and Governing Law

These Terms are governed by the laws of the State of California, USA. Any disputes shall be resolved through binding arbitration, except where prohibited by law.
