Article I — Name

The name of the limited liability company is Vertexx Network, LLC (hereinafter referred to as the "Company").

Article II — Principal Office

The principal place of business of the Company shall be located at such place within the United States as the Members may from time to time determine. The Company may maintain additional offices at such other places as the Members deem advisable.

Article III — Registered Agent

The name and address of the registered agent for service of process in the state of formation shall be as filed with the appropriate state authority and may be updated from time to time in accordance with applicable law.

Article IV — Purpose

The purpose of the Company is to engage in any lawful business activity for which limited liability companies may be organized under the laws of the state of formation, including but not limited to operating an AI-powered recruiting and hiring platform, connecting technology talent with employers, and providing related software and consulting services.

Article V — Management

The Company shall be managed by its Members in accordance with the Operating Agreement. The Members shall have full, exclusive, and complete authority to manage and control the business and affairs of the Company.

Article VI — Duration

The Company shall have perpetual existence unless sooner dissolved in accordance with the Operating Agreement or applicable law.

Article VII — Liability

No Member or Manager shall be personally liable for any debt, obligation, or liability of the Company, whether arising in contract, tort, or otherwise, solely by reason of being a Member or Manager of the Company.

Article VIII — Amendments

These Articles of Organization may be amended from time to time in the manner provided by the Operating Agreement and applicable state law.
