Event Organizer Agreement

This Event Organizer Agreement ("Agreement") sets forth the terms under which you may list and manage events on the Vertexx Network Platform.

1. Platform Role

Vertexx Network is a technology platform that connects event organizers with attendees. We provide listing, ticketing, and promotion tools only. We do not organize, operate, sponsor, or co-produce your events unless explicitly stated in writing.

2. Organizer Responsibilities

As an event organizer, you are solely responsible for:

• Planning and operating your event
• Obtaining all required permits, licenses, and approvals
• Securing appropriate insurance coverage
• Negotiating and maintaining venue agreements
• Implementing safety measures and emergency plans
• Fulfilling ticket obligations and refunds
• Collecting and remitting applicable taxes
• Complying with all local, state, and federal laws

3. Representations and Warranties

You represent that you have obtained all required approvals before publishing any event on the Platform. You warrant that your event does not violate any law, regulation, or third-party rights.

4. Fund Allocation

If your event involves fundraising, you agree that a minimum of 80% of funds raised must be allocated to equipment and land acquisition as described in your campaign. You are responsible for accurate reporting and use of funds.

5. Indemnification

You agree to defend, indemnify, and hold harmless Vertexx Network, its officers, directors, and employees from any claims, damages, liabilities, costs, or expenses arising from your events, including personal injury, property damage, or regulatory violations.

6. Liability

Vertexx Network is not liable for any aspect of your event, including cancellations, attendee disputes, financial losses, or safety incidents. You assume all risk associated with organizing events.

7. Termination

We may remove event listings and revoke organizer privileges if you violate this Agreement or if your event poses a risk to the community.
